Terms of Service

1. Acceptance of Terms

By accessing or using the Personal Marketing application (“the App”) operated by Nextoria Information Technology LLC (“Nextoria,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the App.

These Terms apply to all users of the App, including users who connect social media accounts, generate content using AI features, or schedule and publish posts.

2. Description of Service

Personal Marketing is a social media management platform that allows users to:

• Connect and manage social media accounts across multiple platforms (including Meta/Facebook, Instagram, Google/YouTube, X/Twitter, LinkedIn, TikTok, Snapchat, and Telegram)
• Create, schedule, and publish posts with AI-assisted content optimization
• Analyze engagement metrics and platform performance analytics
• Automate replies to social media interactions using AI
• Sync content planning with Google Calendar
• Clone and adapt content strategies from public creator profiles

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age to use this App. By using the App, you represent and warrant that:

• You are at least 18 years old
• You have the legal authority to agree to these Terms on behalf of yourself or any entity you represent
• Your use of the App does not violate any applicable laws or regulations in your jurisdiction

We do not knowingly permit use by individuals under 18. If you become aware that a minor is using the App, please notify us at info@nextoria.ae.

4. Account Registration & Security

To use the App, you must register an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account credentials
• Notify us immediately at info@nextoria.ae if you suspect unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We are not liable for any loss or damage arising from your failure to maintain account security.

5. Permitted Use

You may use the App solely for lawful social media management purposes, including:

• Managing your own or your clients’ authorized social media accounts
• Publishing content that you own or have the right to publish
• Analyzing publicly available platform metrics returned by connected platform APIs
• Automating responses to social media interactions within platform API terms
• Using AI content suggestions to assist (not replace) your creative process

6. Prohibited Use

You must not use the App to:

• Violate any applicable law, regulation, or the terms of service of any connected platform (including Meta, Google, X, LinkedIn, TikTok, Snapchat, or Telegram)
• Publish spam, misleading, defamatory, harassing, hateful, or illegal content
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload or transmit viruses, malware, or any harmful code
• Attempt to gain unauthorized access to the App, its infrastructure, or other users’ accounts
• Reverse-engineer, decompile, or extract the source code of the App
• Use the App to generate, distribute, or facilitate misinformation or synthetic media (deepfakes) without appropriate disclosure
• Circumvent, disable, or otherwise interfere with any security features of the App
• Use automated scripts or bots to interact with the App beyond the intended features
• Re-sell, sublicense, or redistribute access to the App without our prior written consent

Violation of these restrictions may result in immediate account termination and, where applicable, legal action.

7. Third-Party Platform Compliance

When you connect a social media account, you authorize the App to interact with that platform on your behalf within the scopes you grant during the OAuth connection flow. You remain solely responsible for ensuring your use of those platforms complies with their respective terms of service.

We are not affiliated with, endorsed by, or sponsored by any third-party platform listed above. We do not control and are not responsible for third-party platform outages, API changes, or policy updates that may affect App functionality.

8. AI Features

The App uses Google Gemini AI to provide content optimization, strategy suggestions, and automated reply assistance. By using AI features, you acknowledge that:

• AI-generated suggestions are provided for informational and creative purposes only and may not be accurate, appropriate, or complete
• You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing
• Your content inputs may be sent to Google Gemini API for processing; we do not use your content to train AI models
• AI features are subject to the Google Gemini API Additional Terms of Service

Our use of Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements.

9. Content Ownership & License

You retain full ownership of all content you create and publish through the App. By using the App, you grant Nextoria a limited, non-exclusive, non-transferable license to process, store, and transmit your content solely for the purpose of providing the App’s services to you.

We do not claim ownership of your content, sell your content to third parties, or use your content for any purpose other than operating the App as described in our Privacy Policy.

10. Data & Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference. Key points:

• OAuth access tokens are encrypted at rest using AES-256
• We do not sell your personal data to third parties
• We comply with applicable data protection laws including GDPR, CCPA/CPRA, UAE PDPL, and India DPDP
• Data is transmitted exclusively over HTTPS/TLS

11. Account Deletion

You may delete your account at any time from the Account Settings page. Upon deletion:

• All your posts, drafts, scheduled content, and analytics data will be permanently deleted
• All connected social media account tokens will be revoked and removed
• Uploaded media files will be permanently removed from our servers
• Your account profile and personal information will be deleted

This action is permanent and cannot be undone. For Facebook/Meta-initiated data deletion requests, we also provide a Data Deletion endpoint per Meta’s requirements.

12. Disclaimers

We do not warrant that:

• The App will be uninterrupted, error-free, or secure at all times
• Any content published through the App will perform as expected on third-party platforms
• AI-generated content suggestions will be accurate, appropriate, or suitable for your specific purpose
• Third-party platform APIs will remain available or function as described

Your use of the App is at your sole risk.

13. Limitation of Liability

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or AED 100, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless Nextoria Information Technology LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the App in violation of these Terms; (b) your violation of any third-party rights, including intellectual property or privacy rights; or (c) any content you create, publish, or transmit through the App.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates (UAE). Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.

We encourage you to contact us at info@nextoria.ae before initiating any formal legal proceedings, so we may attempt to resolve the matter amicably.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page. For significant changes, we will notify you via email or an in-app notice. Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
